People's Pedal Constitution

Article One - Name

1.1- The official name of the organization shall be the Edmonton Bicycle Sharing Society, hereafter referred to as EBSS.
1.2 - The promotional name of the organization shall be the People's Pedal.

Article Two - Authority

2.01 - The constitution of the EBSS shall be interpreted by the EBSS executive.

Article Three - Purpose

3.01 - To provide easy access to bicycles to the residents of Edmonton.
3.02 - To promote the bicycle as a viable means of transportation in urban environments.
3.03 - To increase the use of bicycles in the Edmonton's core, decreasing congestion
3.04 - To support city of Edmonton's Green House Gas Reduction and Energy Strategy
3.05 - To help the city of Edmonton meet its Active Living campaign targets

Article Four - Membership

4.01 - Memberships shall be provided to any interested individual who provides an annual payment of $25 or volunteers for a minimum of 4 hours per year with the EBSS.
4.02 - Only members of the EBSS shall be eligible to serve as officers of the organization.
4.03 - The executive reserves the right to revoke any membership at any time.

Article Five - EBSS Executive

5.01 - The EBSS Executive shall consist of the following officers elected at the Annual General Meeting of the organization:

  • One President, who shall
    Act as the Chief Executive Officer of the organization and shall chair all meetings;
  • One Vice-President, who shall
    Act as Chief Executive Officer of the organization in the absence of the President and chair meetings in the absence of the President.
  • One Treasurer, who shall
    Act as Chief Financial Officer of the EBSS,
    Prepare an annual budget for the EBSS and oversee EBSS fundraising operations;
    Keep accurate financial records for the organization;
    Be responsible for submitting a year end financial statement;
  • One Secretary, who shall
    Keep accurate minutes of all executive meetings;
    Be responsible for keeping an updated copy of this document, any bylaws, and other pertinent records;
    Be responsible for keeping an updated membership list
  • One Communications Officer, who shall
    Oversee promotion of the organization

5.02 - The EBSS executive shall also include one member at large.
5.03 - Should any elected Executive positions fall vacant between Annual General Meetings, the Executive shall appoint one of its current members to act as that officer until the next Annual General Meeting, where the post shall be filled by election.
5.04 - The EBSS Executive shall conduct and administer the affairs and business of the organisation between Annual General Meetings.
5.05 - The EBSS Executive may issue statements in the name of the organisation in accordance with decisions made by the Executive.
5.06 - The EBSS Executive may establish Executive Committees to carry out the work of the organisation.
5.07 - EBSS Executive meetings shall be fifty percent (50%) of the total voting executive membership.
5.08 - Membership on the EBSS Executive shall be terminated if any Executive member resigns their position. A member will be deemed to have resigned if they miss two (2) consecutive meetings without notice.
5.09 - Any decision of the Executive may be appealed at Annual General Meetings.
5.10 - All meetings of the Executive shall be open to any EBSS member to attend as an observer.

Article Six - Annual General Meeting (AGM)

6.01 - The EBSS shall hold an AGM at least once per calendar year.
6.02 - The date and place for the AGM shall be chosen by the EBSS Executive.
6.03 - At least forty-five (45) days written notice of the date and place of the AGM shall be given to each EBSS member.
6.04 - Any member in good standing shall be entitled to attend the Annual General Meeting as a voting delegate.
6.05 - Each delegate of the Annual General Meeting shall have only one vote: proxy voting shall not be allowed.
6.06 - At the Annual General Meeting, quorum shall consist of fifty percent (50%) of those registered as delegates at the commencement of Convention

Article Seven - Business at Annual General Meeting (AGM)

7.01 - Business at the AGM shall include but not be restricted to receiving and voting upon the reports of the:
President
Vice-President
Secretary
Treasurer
7.02 - Business may also include consideration of and voting upon:
- Proposed amendments to the constitution;
- Expansion of the bicycle sharing project;
7.03 - All positions on the EBSS Executive will be open for election at each Annual General Meeting.

Article Eight - Amendments

8.01 - This constitution may be amended by a two-thirds (2/3) majority of all members present at an Annual General Meeting.

Article Nine - Rules of Order

9.01 - The rules of order shall be Robert's Rules of Order, except where otherwise specified by this constitution.

Article Ten - Dissolution

10.01 - Should EBSS cease to exist all assets of the organization shall become the property of Edmonton Bicycle Commuters.
